Terms of Service
These Terms of Service form a legal agreement between you and Noesis Labs Pty Ltd for your access to and use of Noezra. By creating an account, accepting these Terms, or using Noezra, you agree to them. If you do not agree, you must not access or use Noezra.
Noezra is a beta web product. Features, limits, availability, AI behaviour, outputs, providers, and access may change during testing. These Terms must be read with the Privacy Policy and any feature-specific or promotional rules that apply.

1. Agreement and acceptance
These Terms of Service (Terms) form a legal agreement between you and Noesis Labs Pty Ltd (Noesis Labs, Noezra, we, us, or our) for your access to and use of Noezra.
By creating an account, clicking accept, accessing a beta invitation, using the website or web application, uploading content, using an AI feature, connecting a third-party account, joining a promotion, or otherwise using Noezra, you agree to these Terms. If you do not agree, you must not access or use Noezra.
These Terms apply together with our Privacy Policy, any plan terms, beta invitation terms, promotional terms, acceptable-use notices, product notices, third-party provider notices shown in the product, and any written agreement that we expressly say applies to your use of Noezra. If a separate written agreement signed by Noesis Labs conflicts with these Terms, that signed agreement controls only for the conflict and only for the users, account, plan, or organisation it covers.
You should save a copy of these Terms. We may provide these Terms electronically, including through a website link, in-product notice, sign-up flow, or account notice.
3. Important product notices
Noezra is a beta web product. It may change, break, be unavailable, produce incorrect outputs, or remove features during testing.
Noezra is an AI-assisted study, research, reading, listening, note-taking, and document-workflow tool. It is not a university, tutor of record, publisher, professional adviser, clinical tool, mental-health service, legal service, financial service, evidence repository, or high-risk decision system.
Noezra global beta is for users who are 18 years old or older. During beta, Noezra is not available for children, school-managed accounts, classroom accounts, or accounts created for a child.
You keep the rights you lawfully hold in your User Content. We need a limited operating licence to process that content so the product can work.
Noezra does not use Private Workspace Content to train AI models shared across users by default. Optional shared model improvement, if introduced later, must be handled through a separate affirmative choice, product setting, consent flow, or written agreement, unless another lawful basis clearly applies and is explained in the Privacy Policy.
AI Output can be wrong. You are responsible for checking original sources, academic requirements, citations, and the suitability of any output before relying on it.
Some jurisdictions may require additional notices, consent flows, AI transparency disclosures, privacy disclosures, or local-language notices. Noezra may add, change, or localise notices during beta to meet those requirements.
Noezra may identify, label, watermark, log, or restrict certain AI-generated content or outputs where reasonably necessary for safety, transparency, abuse prevention, provider compliance, legal compliance, or product integrity.

5. Who we are and what is covered
Noezra is operated by Noesis Labs Pty Ltd, an Australian proprietary limited company.
Noezra is a web-based AI study, research, reading, listening, note-taking, source-navigation, citation-assistance, and document-workflow product.
These Terms are written for the Noezra website, web application, and global beta. They do not apply to Apple App Store apps, Google Play apps, desktop applications, enterprise school deployments, classroom deployments, institution-managed accounts, API access, or white-label deployments unless we expressly state that they apply. We may require additional terms before those products or account types become available.
Noezra may be made available through different plans, cohorts, waitlists, beta invitations, trials, or promotional access programs. Availability may vary by country, feature, provider, account type, device, or technical environment.
6. Global beta release, regional availability, and local law
Noezra global beta may be available to users in multiple countries, but availability in a country does not mean Noesis Labs represents that every feature is lawful, suitable, or approved for every local use case in that country.
Noezra may restrict, suspend, delay, or refuse access in a country, region, institution, network, or account type where reasonably necessary for legal compliance, sanctions, export control, provider limitations, security, privacy, consumer-law risk, payment limitations, or beta stability.
If mandatory local law gives you consumer, privacy, data-protection, withdrawal, cancellation, language, accessibility, dispute, or other statutory rights that cannot be excluded, these Terms do not exclude those rights. Where a local law conflicts with these Terms, these Terms apply only to the maximum extent permitted by that law.
You are responsible for ensuring that your use of Noezra is lawful in the place where you access it and for the purpose for which you use it. You must not use Noezra from any place, or for any purpose, where doing so would breach applicable law, sanctions, provider rules, institutional rules, or these Terms.
Noezra is released during beta for testing, feedback, learning, and product improvement. Unless Noesis Labs expressly agrees in writing, beta access does not create any promise of future availability, specific launch date, continued free access, permanent data storage, or continued access to any feature.
7. Eligibility and beta access
Noezra global beta is available only to users who are 18 years old or older. By creating an Account or using Noezra, you confirm that you are at least 18 years old.
During beta, Noezra is not available to users under 18, school-managed accounts, classroom accounts, or accounts created for a child. We may refuse, suspend, or close an Account if we reasonably believe the user is under 18 or the Account does not meet beta eligibility requirements.
If you use Noezra for an organisation, you confirm that you have authority to do so and that your use will comply with these Terms, applicable laws, institutional policies, privacy obligations, and any separate written agreement that applies.
We may approve, refuse, limit, revoke, or stagger beta access where reasonably necessary for beta stability, safety, security, capacity, provider limits, product testing, legal compliance, or protection of Noesis Labs and users.
8. Accounts, identity, and security
You may need an Account to access parts of Noezra. You must provide accurate, current, and complete information and keep it updated.
You are responsible for maintaining the confidentiality of your login credentials and for activity under your Account, except to the extent caused by Noezra breaching its legal obligations. You must promptly notify us if you suspect unauthorised access, credential compromise, loss of a device, misuse of your Account, or another security issue involving your Account.
Unless we expressly allow it in writing, you must not sell, rent, lease, transfer, share, sublicense, or provide access to your Account to anyone else. You must not create accounts using false identities, automated methods, disposable abuse infrastructure, credential-stuffing tools, or credentials you are not authorised to use.
You are responsible for the devices, browsers, extensions, networks, and systems you use to access Noezra. You should use reasonable security practices, including secure passwords, device locks, updated software, and multi-factor authentication where available.
We may require additional verification, disable suspicious sessions, revoke tokens, reset credentials, or require re-authentication where reasonably necessary to protect your Account, other users, third-party providers, or Noezra.
9. Licence to use Noezra
Subject to your compliance with these Terms, Noesis Labs grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use Noezra for your own lawful study, research, productivity, and internal workflow purposes while we make Noezra available to you.
This licence does not transfer ownership of Noezra or any Noezra Materials to you. No rights are granted except those expressly stated in these Terms.
You must not copy, modify, reproduce, distribute, publicly display, publicly perform, frame, mirror, scrape, resell, lease, sublicense, reverse engineer, decompile, disassemble, interfere with, or create derivative works from Noezra or Noezra Materials, except to the extent the restriction is prohibited by law.
You must not use Noezra to provide a competing service, bureau service, outsourced service, or managed service for others unless Noesis Labs expressly agrees in writing.
10. Beta features, changes, availability, and backups
Noezra beta is experimental. It may include bugs, delays, outages, inaccurate AI Output, incomplete features, changing limits, temporary access, changing AI behaviour, unstable integrations, incomplete export functions, and changing deletion functions.
We may add, remove, suspend, modify, limit, discontinue, rename, redesign, or replace features during beta where reasonably necessary for product development, safety, security, provider constraints, cost control, compliance, user experience, or service stability.
Where practicable, we will take reasonable steps to avoid unnecessary disruption and to provide notice before material changes that materially reduce access or require action by you. We may act without prior notice where urgent action is needed for security, legal compliance, abuse prevention, provider compliance, cost control, platform stability, or protection of users.
We may perform scheduled or emergency maintenance. We may also suspend or limit access where third-party providers, security issues, legal obligations, capacity limits, sanctions, payment issues, rights complaints, or provider policies affect our ability to operate Noezra.
Noezra is not a permanent archive, evidence repository, or backup service unless a written plan or agreement expressly says otherwise. You should keep independent copies of important documents, notes, assignments, research materials, citations, exports, and outputs.
We may provide support during beta, but beta support channels, response times, fixes, and feature requests are not guaranteed unless a separate written agreement says otherwise.
11. Beta support, service levels, and feedback
During beta, Noezra may provide support through email, forms, in-product channels, or community channels, but beta access does not include any guaranteed response time, uptime commitment, service level agreement, backup guarantee, recovery guarantee, or support availability unless Noesis Labs expressly agrees in writing.
You may be invited to provide feedback, bug reports, survey responses, interviews, usage comments, or product suggestions. Feedback is voluntary unless a specific promotion or beta program rule says otherwise.
We may prioritise support, bug fixes, feature changes, and access decisions based on severity, safety, security, legal risk, product roadmap, provider constraints, and beta testing needs.
12. What Noezra does and does not do
Noezra is designed to support studying, reading, listening, researching, organising, drafting, note-taking, document navigation, source review, citation assistance, comprehension, and learning workflows.
Noezra does not guarantee grades, academic outcomes, admissions outcomes, employment outcomes, publication outcomes, research outcomes, legal compliance, institutional compliance, or acceptance of any work by a university, college, journal, employer, regulator, or other body.
Noezra does not determine whether your use is permitted by your institution, publisher, employer, research ethics body, professional body, or other authority. You must check and follow the rules that apply to you.
Noezra may provide product suggestions, source suggestions, summaries, explanations, or workflow assistance, but those outputs are not professional advice and must not replace independent judgement.
13. AI features and AI outputs
AI Output may be inaccurate, incomplete, outdated, biased, misleading, offensive, unsuitable, non-unique, or inconsistent. It may contain hallucinated statements, incorrect citations, broken links, incorrect source attributions, wrong summaries, reasoning errors, formatting errors, or missing context.
You are responsible for reviewing AI Output, checking original sources, verifying citations, checking academic requirements, confirming facts, and deciding whether AI Output is suitable for your use.
Noezra may use multiple AI models, retrieval systems, text extraction systems, speech systems, ranking systems, prompt systems, safety systems, and third-party providers. Model behaviour, source availability, output format, speed, and quality may change without notice during beta.
Noezra may apply automated filters, safety checks, abuse detection, rate limits, or output restrictions to protect users, providers, rights holders, and the Platform. These systems may block, limit, or alter inputs or outputs.
As between you and Noesis Labs, Noesis Labs does not claim ownership of AI Output generated for you from your User Content, to the extent such ownership can legally be assigned or disclaimed. Subject to applicable law and third-party rights, Noesis Labs assigns to you any rights it has in those outputs.
This does not give you ownership of Noezra Materials, third-party content, source documents you do not own, public-domain materials, generic suggestions, system prompts, model behaviour, or outputs generated for other users. Because AI systems may generate the same or similar outputs for different users, similarity of outputs does not create a claim against Noezra or another user.
14. AI transparency, generated content, and human review
Noezra may provide AI-generated or AI-assisted outputs. Where required by applicable law or product design, Noezra may disclose that content is AI-generated or AI-assisted, apply labels or metadata, or provide user-facing notices about AI limitations.
You must not remove, hide, alter, or misrepresent AI labels, warnings, source information, citations, provenance information, or safety notices where doing so would mislead another person or breach applicable law, institutional rules, or platform rules.
If you publish, submit, share, or rely on AI Output outside Noezra, you are responsible for checking whether you must disclose AI assistance, identify generated content, cite sources, obtain permissions, or comply with academic, professional, publisher, employer, or platform rules.
You must not use Noezra to create or distribute deceptive deepfakes, impersonations, false endorsements, fake academic evidence, fabricated research, fabricated sources, manipulative content, or content that misleads people into believing AI-generated material is human-generated where disclosure is required.
Noezra AI Features are intended to assist human review and workflow. They are not designed to make final decisions about a person, replace professional judgment, or be used without human verification in high-risk contexts.
15. User Content ownership and responsibility
As between you and Noesis Labs, you retain the rights you lawfully hold in your User Content. Uploading, processing, summarising, generating audio from, or otherwise using User Content in Noezra does not give you any rights you do not already have.
You are responsible for ensuring that you have all rights, permissions, licences, consents, approvals, and lawful bases needed to upload, store, process, transform, summarise, analyse, listen to, generate audio from, generate study materials from, or otherwise use User Content in Noezra.
You must not upload or process content that infringes intellectual property rights, moral rights, database rights, privacy rights, publicity rights, confidentiality obligations, contract terms, publisher terms, institutional rules, research ethics obligations, employment obligations, or any law.
You remain responsible for the accuracy, quality, lawfulness, reliability, and suitability of your User Content and any decisions you make using it.
You represent that your User Content and your use of Noezra will comply with these Terms, applicable laws, third-party rights, and any rules or obligations that apply to the content.
16. Licence you give us to operate Noezra
You grant Noesis Labs a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit, display, index, embed, analyse, convert, transform, summarise, generate audio from, generate study materials from, retrieve, secure, troubleshoot, and otherwise use User Content only as reasonably necessary to provide, operate, maintain, secure, improve, and support Noezra in accordance with these Terms and the Privacy Policy.
This operating licence allows us to process your requests and generate AI Output; provide reading, listening, search, note-taking, source-linking, citation-assistance, and document-workflow functions; detect, prevent, investigate, and respond to abuse, security incidents, rights infringement, service misuse, policy violations, and legal requests; comply with law; enforce these Terms; and create aggregated or genuinely De-identified Information.
This operating licence lasts only as long as reasonably necessary for the purposes above, subject to backup, security, legal, audit, dispute, tax, accounting, fraud-prevention, and retention requirements described in the Privacy Policy or required by law.
This operating licence does not authorise optional shared AI training on Private Workspace Content except as described in section 17. It also does not transfer ownership of your User Content to Noesis Labs.
17. Private Workspace Content and AI training position
Noezra does not use Private Workspace Content to train AI models shared across users by default. Acceptance of these Terms does not, by itself, authorise optional shared AI training on Private Workspace Content.
If Noezra later offers optional shared model improvement using Private Workspace Content, it must be presented through a separate affirmative choice, product setting, consent flow, or written agreement that clearly explains what content is used, the purpose, how the choice can be changed, and any limits of withdrawal, unless another lawful basis clearly applies and is explained in the Privacy Policy.
This section does not prevent Noezra from using Private Workspace Content to provide the service to you, respond to your prompts, generate outputs for your account, maintain safety and security, comply with law, troubleshoot issues, debug product failures, or improve your own workspace experience as described in these Terms and the Privacy Policy.
Noezra may use prompts, files, outputs, metadata, and related signals in a temporary, technical, provider-controlled, or account-specific way where reasonably necessary to provide an AI Feature, subject to the Privacy Policy, provider settings, and applicable law. Provider-specific data handling must be accurately reflected in the Privacy Policy before publication.
18. Behaviour Data, analytics, and de-identified statistics
Noezra may collect and use Behaviour Data to operate, secure, measure, debug, analyse, and improve Noezra, including product features, AI quality, workflow design, onboarding, reliability, safety systems, usage limits, fraud prevention, and abuse prevention.
Noezra may create aggregated statistics, performance metrics, benchmarking data, reliability metrics, safety metrics, De-identified Information, and similar information derived from use of Noezra. To the extent this information is not personal information and does not identify you, your Account, your confidential information, or your Private Workspace Content, Noesis Labs may use it for product improvement, research, reporting, business planning, safety, marketing, and service development.
If information is not genuinely de-identified or becomes reasonably capable of identifying an individual, we will handle it as personal information in accordance with the Privacy Policy and applicable privacy laws.
We will not treat information as anonymous or de-identified if it can reasonably be linked back to an individual.
19. Academic integrity and institutional rules
Noezra is designed to support learning, research, comprehension, workflow, and productivity. You must use Noezra in a way that complies with your school, college, university, employer, publisher, professional body, examination authority, and any other applicable rules.
You must not use Noezra to cheat, impersonate another person, submit work you are not permitted to submit, fabricate sources, fabricate citations, hide AI use where disclosure is required, bypass examination conditions, mislead a marker, mislead an institution, violate academic integrity rules, or complete assessments in a way that is prohibited.
Noezra may help you understand, organise, draft, revise, summarise, or study materials. You are responsible for ensuring your final submissions are your own work and that any AI assistance, citations, sources, quotations, or paraphrases are disclosed where required.
Noezra does not determine whether your use is allowed by your institution. You are responsible for checking and following the rules that apply to you.
20. Copyright, documents, audio, and generated study materials
Noezra may allow you to upload, analyse, summarise, listen to, transform, generate notes from, generate audio from, or generate study materials from documents and other materials. You must only use documents and materials that you are authorised to use in the way you use them in Noezra.
You must not use Noezra to pirate books, articles, journal papers, textbooks, lecture slides, course materials, databases, exam materials, or other protected works; bypass paywalls or digital rights management; remove copyright notices; distribute unauthorised copies; or create infringing substitutes for protected works.
If your access to a document, database, course resource, journal article, publisher platform, library resource, or institutional resource is subject to separate terms, you are responsible for complying with those terms.
Unless you have the necessary rights, you must not publicly share, sell, publish, redistribute, or commercialise audio, summaries, flashcards, quizzes, outlines, notes, study guides, or other materials generated from third-party copyrighted content.
Generated audio, summaries, flashcards, quizzes, and study materials may omit information, simplify meaning, misstate nuance, or contain errors. You should check the original source before relying on them.
Noezra may remove, restrict, preserve, or disable access to content where we reasonably believe it infringes rights, creates legal risk, violates these Terms, or is the subject of a credible rights complaint.
21. Public sharing, export, and publication of outputs
Noezra may allow you to copy, export, download, screenshot, or share certain outputs or generated study materials. You are responsible for ensuring that any sharing, publication, submission, or reuse is lawful and allowed by the rights, licences, and rules that apply to the source content.
You must not use exported or shared outputs to reveal another person's personal information, confidential information, copyrighted materials, private academic materials, unpublished research, trade secrets, or institutional materials without permission.
If you use Noezra to prepare content for public release, academic submission, professional use, marketing, publication, or research communication, you must independently review the output for accuracy, originality, attribution, privacy, confidentiality, copyright, and disclosure requirements.
Noezra does not guarantee that exported content is free of hidden metadata, personal information, copyright risk, citation errors, hallucinations, or formatting issues. You should check outputs before distributing them outside your private workspace.
22. Research sources, citations, and third-party content
Noezra may display, link to, suggest, retrieve, summarise, rank, analyse, or refer to third-party sources, websites, papers, databases, metadata, abstracts, snippets, search results, or external content. Third-party content is controlled by its authors, publishers, providers, institutions, or rights holders, not by Noezra.
Noezra does not guarantee that third-party content is accurate, complete, current, lawful to access, available, suitable, peer-reviewed, properly cited, non-infringing, or accepted by your institution, publisher, or supervisor.
A source suggestion, citation, reference, link, quote, abstract, or summary generated by Noezra does not mean Noezra endorses the source, verifies it, guarantees access to it, or guarantees that you may use it. You must check original sources and citation requirements yourself.
Links may break, databases may change, access may depend on your own subscriptions, and source metadata may be incomplete or incorrect.
23. Prohibited use and acceptable use
You must not use Noezra, directly or indirectly, to:
- violate law, court orders, sanctions, institutional rules, contract terms, or third-party rights;
- infringe copyright, trade marks, database rights, moral rights, privacy rights, publicity rights, confidentiality rights, or any other rights;
- upload or process content you are not authorised to use;
- cheat, fabricate academic work, fabricate citations, or mislead an institution, examiner, publisher, employer, regulator, or reviewer;
- harass, abuse, stalk, threaten, exploit, defame, impersonate, discriminate against, or harm any person or group;
- create, distribute, or facilitate malware, phishing, credential theft, scams, spam, bot activity, security attacks, or deceptive activity;
- collect, scrape, harvest, or misuse personal information, email addresses, contact details, credentials, or account data;
- generate or distribute unlawful, exploitative, extremist, sexually abusive, hateful, or otherwise harmful content;
- misrepresent your affiliation with Noezra or any institution, publisher, researcher, company, or person;
- make regulated, high-risk, legal, medical, financial, insurance, employment, credit, housing, migration, clinical, safety-critical, or similar decisions about a person;
- bypass, disable, interfere with, overload, or undermine Noezra security, content filters, usage limits, rate limits, payment systems, access controls, or provider restrictions;
- use Noezra in a way that damages, disables, overburdens, disrupts, or impairs the Platform or other users.
You must not use Noezra to develop, train, benchmark, evaluate, or improve a competing product by copying Noezra Materials, extracting model behaviour, scraping outputs at scale, reconstructing prompts, reverse engineering system design, or using automated output collection, except to the extent permitted by law.
You must not use Noezra for load testing, stress testing, vulnerability scanning, model extraction, prompt injection testing, jailbreak testing, or security research without prior written authorisation from Noesis Labs, except where protected by applicable law.
24. Security, automation, model protection, and responsible disclosure
You must not attempt to gain unauthorised access to Noezra, another user Account, Connected Accounts, systems, networks, data, prompts, models, infrastructure, keys, credentials, logs, provider systems, or non-public product information.
You must not use bots, crawlers, scrapers, automated scripts, load tests, data-mining tools, prompt-injection attacks, jailbreak attempts, model-extraction techniques, vulnerability testing, or automated account creation without our prior written permission, except where your activity is expressly authorised by Noesis Labs in writing or protected by applicable law.
If you discover a security issue, you must report it responsibly to contact@noezra.ai and must not exploit it, access data unnecessarily, disclose it publicly before remediation, persist in testing after discovery, or disrupt the service.
Unless Noesis Labs announces a written bug bounty or vulnerability disclosure program, reporting a vulnerability does not create a right to payment, reward, permission to access data, or permission to continue testing.
We may investigate, log, block, rate-limit, suspend, or terminate activity that appears to threaten security, privacy, provider obligations, product integrity, or other users.
25. Sensitive, regulated, and high-risk use
Noezra is not designed or authorised for use as a clinical record system, medical device, therapy platform, mental-health crisis tool, legal-practice system, financial advice tool, accounting system, government ID repository, biometric system, payment-card repository, regulated research-participant database, institutional learning-management system, or high-risk decision system.
Unless Noesis Labs expressly agrees in a separate written agreement or the product clearly requests it for a specific feature, you must not upload or process sensitive or regulated information such as medical records, health information, therapy notes, genetic data, biometric identifiers, government identifiers, passports, driver licences, tax file numbers, payment-card numbers, bank credentials, children's personal information, confidential third-party business data, legal advice files, privileged materials, or identifiable research-participant data.
You must not rely on Noezra for emergencies, crisis situations, diagnosis, treatment, legal advice, financial advice, safety-critical instructions, or decisions that could significantly affect a person's rights, health, safety, liberty, finances, education, employment, housing, insurance, migration, legal status, or access to essential services.
If you accidentally upload sensitive or regulated information that is not permitted, you should delete it where the product allows and contact us if you need help.
26. Third-party providers, OAuth, and connected accounts
Noezra may rely on third-party providers for AI models, hosting, cloud storage, authentication, OAuth, email, analytics, error logging, security, content extraction, text-to-speech, search, payments, support, communications, and other functions. These providers may affect availability, speed, reliability, data location, functionality, limits, and service rules.
If you connect Noezra to a third-party account or service, you authorise Noezra to access, receive, store, process, and use information from that account only as reasonably necessary to provide the connected feature and as described in the Privacy Policy and the connection flow.
For OAuth-based connections, Noezra will not ask for your third-party account password. The third-party provider controls the login screen and consent process. Noezra may receive tokens, identifiers, profile information, email addresses, permissions, files, metadata, or other information depending on the scopes and permissions you approve.
You are responsible for ensuring that you have authority to connect a third-party account and that doing so does not breach third-party terms, institutional policies, employer policies, privacy obligations, or confidentiality obligations.
You may be able to revoke a Connected Account through Noezra settings, the third-party provider settings, or both. Revocation may stop future access but may not automatically delete information already processed, retained in backups, or retained where required by law or security obligations.
Unless a product flow clearly asks for it and you approve it, Noezra will not access your third-party contacts, address book, email body content, cloud drive files, calendar events, or similar sensitive account data. If future features require these permissions, the Privacy Policy and consent flow must accurately explain them before use.
Third-party services, links, sources, databases, payment processors, authentication providers, AI providers, and external websites are not controlled by Noezra. We do not guarantee them, and we are not responsible for their content, availability, security, terms, privacy practices, or actions, except to the extent required by law.
27. Google user data and provider-specific rules
If Noezra uses Google sign-in or Google APIs, Noezra must request only the permissions reasonably necessary for the feature being provided and must handle Google user data in accordance with applicable Google policies, the consent screen, the Privacy Policy, and applicable law.
For basic sign-in, Noezra will request only basic authentication and profile information, such as identity, email address, and profile information, unless a specific feature genuinely requires more access.
If Noezra later requests sensitive or restricted Google API scopes, Noezra may need additional Google verification, scope justification, user-facing disclosures, and security assessment depending on the scopes requested. Those permissions should not be requested unless the product genuinely needs them.
Provider-specific rules may change. If a provider changes, suspends, limits, or stops providing a service, Noezra may change, suspend, limit, or remove the affected feature, subject to any non-excludable rights.
Where provider policies impose limited-use, security, deletion, or disclosure requirements for provider user data, Noezra must handle that provider data consistently with those requirements and the Privacy Policy.
Noezra will not request Gmail, Google Drive, Google Calendar, contacts, or other sensitive Google permissions for beta unless the feature genuinely requires those permissions and the consent screen, Privacy Policy, and verification status are ready.
28. Privacy, data handling, security, and data breaches
Our Privacy Policy explains how we collect, use, disclose, store, protect, and retain personal information. You must read the Privacy Policy before using Noezra.
The Privacy Policy must accurately describe the data Noezra collects, the third-party providers used, international data handling, account data, Behaviour Data, Private Workspace Content, AI processing, cookies or tracking technologies, retention periods, deletion rights, access rights, correction rights, complaints process, and privacy contact.
Where required by applicable privacy law, we will take reasonable steps to protect personal information from misuse, interference, loss, and unauthorised access, modification, or disclosure.
Where an eligible data breach notification obligation applies, we will assess and handle the incident in accordance with applicable law. Not every security incident is a notifiable data breach, but serious incidents may require assessment, containment, notification, and remediation.
Personal information may be processed or stored in countries where Noezra, its providers, or their subprocessors operate. The Privacy Policy must explain overseas disclosure practices where required and practicable.
We may retain information where reasonably necessary for account operation, security, backups, fraud prevention, legal compliance, dispute resolution, enforcement, audit, tax, business records, and legitimate operational purposes described in the Privacy Policy.
If an organisation wants to use Noezra to process personal information about students, employees, research participants, customers, or other third parties, a separate data processing agreement, institutional agreement, or privacy addendum may be required before use.
These Terms are not a complete Privacy Policy, cookie notice, data processing agreement, security addendum, or international transfer agreement. Where required by law, provider rules, or institutional use, those documents or notices apply in addition to these Terms.
29. Organisation, institution, and enterprise use
These Terms are designed for the web beta and individual or small-team use. They are not designed as a full enterprise, school, classroom, institutional, or research-participant data processing agreement.
If an organisation, university, school, employer, research group, or institution wants to deploy Noezra for managed users, process third-party personal information, require administrative controls, integrate systems, or impose data-security terms, Noesis Labs may require a separate written agreement, data processing addendum, security addendum, order form, or institutional terms.
You must not represent that Noezra has been approved, endorsed, certified, or authorised by your institution, university, employer, publisher, or professional body unless that organisation has given written approval.
30. Fair use, limits, and storage
Noezra may apply usage limits, rate limits, file-size limits, document limits, storage limits, prompt limits, token limits, export limits, API limits, model limits, feature limits, geographic limits, account limits, and fair-use controls to protect the Platform, manage costs, maintain security, preserve beta stability, and provide fair access to users.
We may throttle, restrict, suspend, or terminate use that exceeds limits, bypasses limits, creates excessive load, appears automated or abusive, threatens service stability, or creates security, legal, provider, cost, or operational risk.
Limits may change during beta and may differ by user, cohort, plan, feature, country, provider, or technical environment. Where practicable, we will give reasonable notice of material limits that materially affect your use.
Noezra may delete, compress, archive, or restrict inactive, excessive, unlawful, infringing, or unsupported content where reasonably necessary and permitted by law, subject to the Privacy Policy and any applicable plan terms.
31. Promotions, gifts, beta rewards, and community activity
Noezra may offer beta invitations, access codes, gift packs, rewards, giveaways, community memberships, waitlist benefits, student activations, founder-series benefits, referral opportunities, or other promotions. Promotions may be subject to separate rules, eligibility requirements, limits, deadlines, verification steps, and availability.
Any promotion conditions must be clearly stated. We may refuse, revoke, substitute, or withhold a promotional benefit where a person does not meet the stated conditions, breaches these Terms, provides false information, acts deceptively, creates duplicate accounts, abuses a promotion, or where providing the benefit would breach law or platform rules.
If a user receives a gift, reward, benefit, free access, or incentive from Noezra and posts about Noezra, the user must make that relationship clear where required by law or platform rules. Noezra does not require positive reviews. If feedback, reviews, testimonials, or posts are requested, they must be honest and must not be misleading.
Detailed rules for Origin Pack, Series 0.0, jackets, giveaways, referrals, or student activations will be published or made available as separate Promotional Terms where they apply.
Promotion rules should state the promoter, eligibility, territory, start and end dates, how winners or eligible recipients are determined, prize or benefit details, limits, verification requirements, any skill/chance element, privacy use, and any platform disclaimer required by the relevant social-media platform.
If a promotion is not intended to operate in a country or region where registration, bonding, permits, special disclosures, or local lottery/gambling rules may apply, Noezra may exclude that country or region in the promotion rules.
32. Payments, subscriptions, trials, and taxes
Noezra beta may be free unless and until a paid plan, paid feature, subscription, trial, credit pack, or other paid service is offered.
If paid services are introduced, the relevant price, billing period, renewal terms, cancellation method, payment provider terms, refund position, taxes, and material limits must be disclosed before purchase or at checkout.
Automatic renewal will apply only if disclosed to you and accepted as part of the purchase flow. If a subscription renews automatically, the renewal period, renewal price, cancellation method, and any renewal notice required by law will be disclosed before purchase or renewal where required.
Unless required by law or expressly stated in a plan notice, fees already paid are not refundable merely because you do not use the service. This does not limit any refund, repair, replacement, cancellation, chargeback, or other right you may have under the Australian Consumer Law or another non-excludable law. Where you are a consumer with a statutory right to cancel or withdraw from a purchase of digital content or services, that right applies in addition to these Terms and in accordance with applicable law.
If payment fails, is reversed, is disputed without valid basis, or remains overdue, Noezra may suspend, downgrade, limit, or terminate paid access after reasonable notice where practicable.
Fees are exclusive of taxes unless stated otherwise. If GST, VAT, sales tax, or similar taxes apply, they may be charged according to the purchase flow and applicable law.
33. Suspension, termination, and account closure
Noezra may suspend, restrict, downgrade, disable, or terminate your access to all or part of the Platform where we reasonably believe that:
- you breached these Terms or another applicable agreement or policy;
- your Account is used unlawfully, fraudulently, deceptively, abusively, or in a way that creates risk;
- your use threatens security, availability, integrity, users, third-party providers, rights holders, or Noesis Labs;
- you are under 18 or otherwise ineligible for beta access;
- you failed to pay applicable fees;
- your use may infringe rights or violate privacy, confidentiality, academic integrity, institutional, or legal obligations;
- we are required or reasonably requested to do so by law, regulator, court, provider, payment processor, rights holder, or competent authority; or
- we need to protect the Platform, users, or Noesis Labs during investigation, remediation, or beta operations.
Where practicable and appropriate, we may provide notice and an opportunity to resolve the issue. We may act without prior notice where the issue is serious, urgent, unlawful, security-sensitive, repeated, or likely to cause harm.
Suspension or termination will be applied only to the extent reasonably necessary for the relevant issue, except where broader action is reasonably necessary for safety, security, legal compliance, provider compliance, investigation, or platform integrity.
You may close your Account using available settings or by contacting contact@noezra.ai. Some features, exports, and deletion tools may be incomplete during beta.
After termination or account closure, your right to access and use Noezra ends. We may delete, retain, restrict, or preserve Account data and User Content as described in the Privacy Policy, as required by law, or as reasonably necessary for security, backup, fraud prevention, legal compliance, dispute resolution, enforcement, audit, tax, accounting, and business record purposes.
We are not required to maintain or provide User Content after termination except where required by law or expressly agreed in writing. You should export or retain your own copies of important content before closing your Account or before access ends.
34. Noezra intellectual property and feedback
Noezra Materials are owned by Noesis Labs or its licensors and are protected by intellectual property and other laws. Except for the limited licence in section 9, these Terms do not grant you any right, title, or interest in Noezra Materials, the Noezra name, logos, brand assets, or related goodwill. All rights not expressly granted are reserved.
You must not use Noezra trade marks, brand assets, or look and feel without our prior written permission, except as permitted by law or by a published brand-use guideline.
If you choose to provide feedback, suggestions, ideas, bug reports, feature requests, or other input about Noezra, you grant Noesis Labs a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, and otherwise exploit that feedback for any purpose without obligation, attribution, or compensation to you, except to the extent prohibited by law. Feedback is provided voluntarily and is not your confidential information unless we expressly agree otherwise in writing.
35. Confidential beta information
During beta you may receive access to non-public features, designs, prices, performance information, roadmaps, prompts, model behaviour, and other information that is not generally available (Confidential Beta Information).
Unless we make the information public or expressly permit disclosure, you must keep Confidential Beta Information confidential, use it only to use and evaluate Noezra under these Terms, and not disclose, publish, benchmark, or share it (including screenshots, recordings, or performance comparisons) without our prior written consent, except where disclosure is required by law and you give us reasonable prior notice where lawful.
This section does not apply to information that is or becomes public through no fault of yours, that you already lawfully held without a duty of confidence, or that you independently develop without using Confidential Beta Information. These obligations survive termination.
36. Intellectual property complaints and repeat infringement
We respect intellectual property rights and expect users to do the same. If you believe content available through Noezra infringes your rights, you may send a complaint to contact@noezra.ai with enough information to identify the rights, the content, your contact details, and a statement of your good-faith belief and authority to act.
We may remove, disable, restrict, or preserve content that is the subject of a credible complaint, and we may forward complaints to the relevant user where appropriate. Where applicable law provides a counter-notice or restoration process, the affected user may submit a counter-notice using the same contact.
We may suspend or terminate Accounts of users who infringe rights, and we may terminate the Accounts of repeat infringers in appropriate circumstances.
37. Disclaimers
To the maximum extent permitted by law, and subject to section 38, Noezra and all Services, AI Features, AI Output, and Noezra Materials are provided on an "as is" and "as available" basis, with all faults and without warranties, guarantees, conditions, or representations of any kind, whether express, implied, statutory, or otherwise.
Without limiting the above, we do not warrant that Noezra will be uninterrupted, timely, secure, error-free, complete, or free of harmful components; that AI Output or sources will be accurate, reliable, current, lawful to use, non-infringing, or suitable for your purpose; that defects will be corrected; or that the Platform will meet your requirements or be available in any location.
Noezra is a beta product offered for testing and evaluation. You use it at your own risk and are responsible for verifying outputs and keeping independent copies of important content. Any material accessed through Noezra is accessed at your own discretion and risk.
38. Australian Consumer Law and non-excludable rights
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded, restricted, or modified (non-excludable rights).
If the Australian Consumer Law applies and our goods or services come with guarantees that cannot be excluded, then to the extent we are entitled to do so, our liability for failing to comply with such a guarantee is limited, at our option, to: for services, resupplying the services or paying the cost of resupplying the services; and for goods, replacing the goods, supplying equivalent goods, repairing the goods, or paying the cost of doing so.
The limitations and exclusions in sections 37, 39, and elsewhere in these Terms apply only to the extent permitted by law and do not exclude or limit any non-excludable right. Where a non-excludable right applies, the other terms of this agreement continue to apply to the extent they are consistent with that right.
39. Limitation of liability
Nothing in this section limits liability that cannot be limited by law, including liability under non-excludable rights described in section 38, or liability for fraud, death, or personal injury caused by negligence where such limitation is prohibited.
To the maximum extent permitted by law, and subject to section 38, Noesis Labs and its officers, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive loss, or for any loss of profits, revenue, goodwill, opportunity, anticipated savings, data, or content, or for the cost of substitute services, arising out of or in connection with Noezra or these Terms, whether based in contract, tort (including negligence), statute, or otherwise, even if advised of the possibility of such loss.
To the maximum extent permitted by law, and subject to section 38, our total aggregate liability arising out of or in connection with Noezra or these Terms is limited to the greater of the total amount you paid to Noesis Labs for Noezra in the three months immediately before the event giving rise to the liability, or AUD 100.
You acknowledge that Noezra is a beta product made available for testing and evaluation, that AI Output may be inaccurate, and that you are responsible for verifying outputs and maintaining your own copies of important content. The allocation of risk in these Terms reflects the beta nature of the product and the fees (if any) paid.
40. Indemnity
To the maximum extent permitted by law, you agree to indemnify and hold harmless Noesis Labs and its officers, employees, and contractors from and against claims, demands, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal costs) arising out of or in connection with your User Content, your use of Noezra, your breach of these Terms or applicable law, your infringement of third-party rights, or your unlawful, unauthorised, or prohibited use of Noezra.
Our right to indemnification is reduced to the extent the relevant loss was caused or contributed to by Noesis Labs, and does not apply to the extent prohibited by law. We may, at our option, participate in the defence and settlement of any claim for which we seek indemnification, and you must not settle any such claim in a way that imposes obligations on us without our prior written consent.
41. Electronic communications and marketing
By using Noezra, you agree that we may communicate with you electronically, including by email, in-product message, or notice on the website, and that electronic communications satisfy any legal requirement that communications be in writing.
We may send you service, security, account, billing, legal, and beta communications necessary to operate Noezra. You may not be able to opt out of these essential communications while you have an Account.
Where we send marketing or promotional messages, we do so consistent with applicable law, including the Spam Act 2003 (Cth) where it applies, by identifying ourselves and providing a functional unsubscribe facility. You can opt out of marketing at any time without affecting essential service communications.
42. Changes to these Terms
We may update these Terms from time to time to reflect changes to Noezra, our practices, our providers, or legal requirements. When we make changes, we will update the last-updated date and publish the updated Terms.
Where a change is material, we will take reasonable steps to notify you where required, such as through in-product notice or email, before the change takes effect. Your continued use of Noezra after the updated Terms take effect indicates that you accept the updated Terms, subject to any consent that is required and obtained separately and to your non-excludable rights.
If you do not agree to an updated version of these Terms, you must stop using Noezra and may close your Account.
43. Dispute resolution
If you have a concern or dispute about Noezra or these Terms, please contact us first at contact@noezra.ai so we can try to resolve it informally. Many issues can be resolved quickly this way.
You agree to attempt in good faith to resolve any dispute with us informally before commencing formal proceedings, except where urgent injunctive or equitable relief is needed or where applicable law allows you to proceed directly. We will likewise attempt to resolve disputes with you in good faith.
If a dispute is not resolved informally, it will be handled through the courts identified in section 44, subject to your non-excludable rights and any right you have to complain to a regulator or to use an available consumer dispute-resolution scheme. To the extent permitted by law, disputes will be resolved on an individual basis and not as part of a class or representative proceeding.
44. Governing law, international users, sanctions, and export control
These Terms are governed by the laws of the State of Victoria, Australia, and the Commonwealth of Australia where applicable, without regard to conflict-of-laws rules. You and Noesis Labs submit to the non-exclusive jurisdiction of the courts of Victoria, Australia, and courts competent to hear appeals from them. Nothing prevents either party from seeking urgent relief in any competent court.
If you access Noezra from outside Australia, you do so on your own initiative and are responsible for complying with local laws. Mandatory consumer or data-protection laws of your country of residence may give you additional rights that these Terms do not exclude.
You must comply with applicable sanctions, export-control, and trade laws. You represent that you are not located in, ordinarily resident in, or acting on behalf of a country or person subject to comprehensive sanctions, and that you will not use or export Noezra in breach of such laws. We may restrict or refuse access where reasonably necessary to comply with sanctions or export-control requirements.
45. General legal terms and contact details
These Terms, together with the documents referred to in them, form the entire agreement between you and Noesis Labs about Noezra and replace any prior understanding on that subject, except for any separate written agreement that expressly applies.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, it will be read down or severed to the minimum extent necessary, and the remaining provisions will continue in full force. Our failure to enforce a provision is not a waiver of it, and a waiver is effective only if in writing.
You must not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or novate these Terms to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of assets, subject to your non-excludable rights. These Terms do not create any agency, partnership, joint venture, or employment relationship, and there are no third-party beneficiaries except as expressly stated.
Neither party is liable for failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including outages, provider failures, natural events, or government action. Provisions that by their nature should survive termination — including ownership, licences granted to us that are stated to survive, feedback, confidentiality, disclaimers, liability limits, indemnity, and governing law — survive termination of these Terms.
